Job summary

Crusoe is seeking a Legal Counsel – Finance and Corporate Development to join our team in Dallas. You will manage high‑velocity corporate transactions, including debt financings, and serve as a trusted advisor on covenant compliance, with strong drafting and negotiation capabilities.

The role requires a JD, active bar admission, and 7–10 years in complex corporate/finance matters, working across Finance, Corporate Development, and external counsel. Safety‑sensitive; AI tools knowledge is a plus.

Qualifications

• J.D. from an accredited law school and active bar admission in any state.
• 7–10 years of transactional legal experience in complex corporate/finance transactions.
• Highly collaborative, low‑ego team player in a small team.
• Expertise in drafting, structuring, and negotiating loan/financing documents.
• Strong business judgment balancing legal risks with commercial goals.
• Strong governance knowledge and compliance practices.
• Ability to manage multiple high‑stakes workstreams under pressure.
• Discretion with highly sensitive information.
• Proficiency with Google Workspace, Microsoft Office, and AI tools.
• Safety‑sensitive position with drug/alcohol program participation.

Responsibilities

• Execute corporate financing and capital markets transactions from term sheet through closing.
• Draft, review, structure, and negotiate term sheets and definitive financing documents.
• Support due diligence and manage document flow across internal and external teams.
• Assist with post‑closing covenant compliance.
• Support entity formations and intercompany transactions.
• Coordinate with Finance, Corporate Development, and external counsel.
