Job summary

Crusoe seeks a Director, Legal Counsel, Corporate & Securities to lead governance, securities reporting, and capital markets support in a fast-growing AI infrastructure company. You will collaborate with the VP, Securities and cross‑cover with the Capital Markets team, guiding governance infrastructure and investor communications.

The role requires a JD, active US bar admission, 4–7 years in corporate/securities, and strong drafting, advisory, and cross‑functional collaboration skills.

Qualifications

• JD from an accredited law school and active bar membership in at least one US state.
• 4–7 years of corporate and securities experience at a top-tier firm or in-house.
• Experience advising on governance, securities compliance, and regulatory reporting.

Responsibilities

• Lead Board materials, minutes, consents, and voting logistics for governance.
• Advise on governance documents: charter/bylaws, investor rights, ROFR, etc.
• Develop and maintain disclosure controls and information governance.
• Provide backup on capital markets transactions and post-closing covenant compliance.
• Partner with Finance, Accounting, IR, and HR across corporate matters.
