Crusoe is seeking a talented attorney to join our Legal team as Director, Legal Counsel, Corporate & Securities. You will build and scale the governance and compliance function to support rapid, high-growth expansion.

Reporting to the VP & Assistant General Counsel, you will own governance, securities compliance, and investor reporting while collaborating with Capital Markets and other teams to drive strategic initiatives.

Qualifications

• JD from an accredited law school and active bar admission in at least one U.S. state.
• 4–7 years of corporate and securities experience at a top-tier firm or in-house.
• Deep governance and securities disclosure expertise.
• Knowledge of capital markets transactions and private placements.
• Experience advising on complex corporate matters with strong judgment.
• Able to translate regulatory requirements into practical guidance for business teams.

Responsibilities

• Lead Board materials prep: agendas, presentations, minutes, resolutions.
• Oversee stockholder notice, consent processes, and vote analysis.
• Coordinate annual stockholder meeting logistics and minutes.
• Advise on charter/bylaws, investor rights and related agreements.
• Develop scalable corporate policies, controls, and playbooks.
• Maintain corporate records and standardized templates.
• Support securities disclosures and investor reporting.
• Assist with capital markets diligence, disclosures, and closing processes.
• Provide cross-functional legal guidance to Finance, IR, HR.
