Job summary

Crusoe is seeking a Legal Counsel - Corporate to join our team. Reporting to the AGC – Finance and Corporate Development, this high-impact role sits at the intersection of corporate finance and strategic transactions for a fast-growing technology infrastructure company.

This role requires leading debt financings, negotiating definitive agreements, managing due diligence, and ensuring ongoing covenant compliance.

Qualifications

• Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.
• 7–10 years of transactional legal experience with corporate and finance transactions.
• Strong drafting, structuring, and negotiation of loan and financing documents.
• Ability to balance legal risks with commercial objectives and maintain governance standards.

Responsibilities

• Execute corporate financing, capital markets, and strategic transactions from term sheet to closing.
• Draft, review, structure, and negotiate term sheets and definitive agreements.
• Support due diligence and manage document flow and closing logistics.
• Assist with ongoing covenant compliance and entity management across multiple teams.
