Job summary

Roeslein & Associates, a global engineering and manufacturing leader, seeks a Corporate Counsel to negotiate complex contracts and advise senior leadership. You’ll drive risk-aware commercial strategies across EPC, manufacturing, and supply chains, partnering with finance, operations and project teams.

You’ll provide day-to-day counsel on corporate matters, governance and compliance, while supporting cross-border transactions and continuous process improvements.

Qualifications

• JD from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction and Missouri eligibility.
• Minimum of 2 years of corporate transactional experience.
• Experience drafting, reviewing, and negotiating commercial agreements.
• Experience advising business stakeholders on legal matters.
• Strong understanding of commercial contracting and risk management.
• Excellent written, verbal, and negotiation skills.
• Strong analytical and problem-solving abilities.
• Ability to balance legal risk with business objectives.
• Ability to communicate with technical, operational, and executive stakeholders.
• Strong organizational skills and ability to manage multiple priorities.

Responsibilities

• Draft, review, negotiate, and manage a variety of commercial agreements including construction, procurement, manufacturing, engineering, vendor, customer, and professional services contracts.
• Advise business leaders on legal and commercial risks associated with transactions and operations.
• Support domestic and international projects throughout the contract lifecycle.
• Provide day-to-day legal counsel on commercial, operational, and corporate matters.
• Partner with cross-functional teams to identify risks and develop practical business solutions.
• Balance legal considerations with operational and strategic objectives.
• Monitor legal and regulatory developments impacting the company's operations.
• Assist with corporate governance activities, including entity management and board resolutions.
• Coordinate with outside counsel as needed.
