Overview

• Experience in advising on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters.
• Supporting various securities matters, including securities offerings, private company financings, investment funds, and capital markets transactions.
• Required strong working knowledge of specific federal securities regulations: Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements.
• Required experience preparing and overseeing Form D and state securities filings via the NASAA Electronic Filing Depository (EFD).
