Job summary

Goodwin Procter LLP seeks a highly qualified Senior Attorney to join our Technology group with a focus on Blue Sky laws. You will advise on federal securities exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters, and support securities offerings and capital markets transactions.

The role requires strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and NASAA EFD filings. Experience overseeing Form D is required.

Qualifications

• Deep knowledge of federal securities exemptions (Reg D, Rule 701, Reg A, Rule 144) and state Blue Sky laws.
• Experience advising on broker-dealer regulations and related compliance matters.
• Proven ability to support securities offerings, private financings, investment funds, and capital markets transactions.
