Qualifications

• Significant experience advising on federal securities exemptions and state Blue Sky laws.
• Experience supporting securities offerings, private financings, investment funds, and capital markets transactions.
• Strong knowledge of Regulation D, Rule 144, Regulation A, Rule 701, and related exemptions.
• Experience preparing and overseeing Form D and state securities filings through NASAA EFD.

Responsibilities

• Advise on Blue Sky laws and applicable securities regulations for client transactions.
• Assist with private financing rounds and capital markets activities.
• Counsel on broker-dealer regulations and related compliance matters.
• Coordinate filings and documentation to ensure regulatory compliance.
