Qualifications

• Significant experience advising on federal securities law exemptions.
• Experience with state Blue Sky laws and broker-dealer regulations.
• Experience supporting offerings, private financings, funds, and capital markets.
• Strong knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144.
• Experience overseeing Form D and NASAA EFD filings.
