Goodwin seeks a Senior Attorney to join our Technology group in San Francisco, focusing on Blue Sky laws and securities compliance. The role requires advising on federal exemptions, state Blue Sky rules, and broker-dealer regulations, with experience supporting offerings, private financings, funds, and capital markets transactions.

Candidates should have strong knowledge of Reg D, 4(a)(2), Reg A, Rule 701, Rule 144, and related state requirements, plus a track record with NASAA EFD filings.

Qualifications

• Experience advising on federal securities exemptions and state Blue Sky laws.
• Knowledge of broker-dealer regulations and related compliance matters.
• Familiarity with Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and state securities rules.
• Experience preparing and overseeing Form D and state securities filings via NASAA EFD.
