Ideal candidates will have strong academic credentials, relevant law firm experience, and prompt bar admission eligibility. NASAA EFD filings experience is required.

Qualifications

• Significant experience advising on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters.
• Experience supporting securities offerings, private company financings, investment funds, capital markets transactions, or other securities matters.
• Relevant bar admission (or eligibility to obtain admission promptly) and a deal sheet are required.

Responsibilities

• Advise on blue sky and securities compliance for corporate and technology transactions.
• Support offerings and financing rounds, coordinating with deal teams.
• Prepare and oversee Form D and state securities filings through NASAA EFD.
