Candidates should have substantial experience with federal exemptions, state securities requirements, broker-dealer regulations, and NASAA filings, along with a strong deal sheet, bar admission, and excellent written and verbal communication skills.

Qualifications

• Significant experience advising on federal securities law exemptions.
• Strong knowledge of state Blue Sky laws, broker-dealer regulations and related compliance.
• Experience supporting securities offerings, private financings, investment funds or capital markets transactions.

Responsibilities

• Advise on securities exemptions and Blue Sky laws for offerings and ongoing compliance.
• Oversee Form D and state securities filings through NASAA EFD and related processes.
• Collaborate with corporate and regulatory teams on compliance matters.
