Job summary

Epicor is seeking a Senior Contracts Manager to partner with the Legal team and stakeholders to review, draft, negotiate, and administer complex commercial agreements, with emphasis on SaaS, software licensing, cloud services, professional services, implementation services, data privacy, and technology transactions.

You will manage a broad portfolio, advise on contract structure and risk, and support the lifecycle from intake through closeout while improving templates and processes.

Qualifications

• Demonstrated expertise in negotiating SaaS, cloud services, software licensing, professional services, data processing, confidentiality, and other technology-related agreements.
• Strong understanding of commercial contracting principles, contract lifecycle management, legal terminology, and risk-based decision-making.
• Ability to balance legal and business considerations, exercise sound judgment, and resolve complex issues within established policies and escalation guidelines.

Responsibilities

• Draft, review, negotiate, and administer complex commercial agreements in alignment with company policies, business objectives, and approved contracting standards.
• Lead negotiations with customers, suppliers, partners, and their procurement, legal, privacy, information security, and executive stakeholders.
• Advise internal stakeholders on contract structure, obligations, risks, fallback positions, and negotiation strategy.
• Support the contract lifecycle from intake to execution, renewal, amendment, and closeout.
• Identify and escalate contractual, commercial, operational, privacy, security, and compliance risks.
• Prepare contract summaries, approval materials, and risk assessments communicating material commitments and actions.
