Job summary

IPSY is seeking a Paralegal and Contracts Manager to join its legal team. You will own contract intake, draft and review various agreements, and support corporate governance while partnering with Marketing, Finance, and Operations.

The role is fully remote within the United States and requires 7+ years of relevant experience, with exposure to AI tools to improve efficiency in contract work. IPSY offers a strong benefits package and a flexible work arrangement.

Qualifications

• 7+ years of in-house corporate paralegal, contracts manager, or legal operations experience.
• Degree in Law, Paralegal Studies, or related field.
• Strong drafting, organizational, and project-management skills with discretion handling confidential matters.
• Experience with legal operations software, process implementation, and vendor management.
• Proficiency with Google Workspace, Microsoft Office, Docusign and Box.
• Familiarity with Spotdraft (CLM) and Carta or similar platforms.
• Comfort using AI tools to enhance efficiency in contract review, drafting, and legal operations.

Responsibilities

• Own the contract intake queue: triage, route for review, and track to signature.
• Draft and review NDAs, engagement certificates, consulting agreements, licenses, and talent agreements; review vendor, SaaS, and manufacturer agreements.
• Maintain contract playbooks and administer the contract management system.
• Drive legal automation and efficiency initiatives.
• Manage formation, qualification and ongoing status of company entities; file Secretary of State docs and maintain registered agent relationships.
• Assist with Board materials; draft minutes and consents; maintain corporate records.
• Partner with cross-functional teams and outside counsel; develop SOPs and self-service tools; provide IP docketing and brand protection support.
