Qualifications

• Minimum 7+ years in corporate/M&A legal practice with independence.
• Experience leading sophisticated domestic and cross-border deals.
• Strong drafting and negotiation of deal documents.
• Ability to counsel executives on strategic legal risk.

Responsibilities

• Provide practical, business-oriented legal advice on significant transactions.
• Independently manage domestic and international M&A from inception to closing and post‑closing integration.
• Draft and negotiate confidentiality agreements, LOIs, and definitive agreements.
• Lead due diligence and translate findings into protections for the transaction.
• Partner with Corporate Development and cross-functional teams throughout the deal lifecycle.
• Manage outside counsel and control legal spend while maintaining ownership of the transaction.
