Job summary

Relativity ODA LLC is seeking a Senior Counsel, Commercial Transactions to draft, review, negotiate, and advise on customer-facing and strategic commercial agreements, including SaaS, software licensing, and cloud services. The role partners with Sales, Product, Security, Finance and other stakeholders to enable growth while managing legal risk.

Qualifications

• Eight (8) or more years of relevant experience in-house and/or at a law firm supporting technology transactions.
• Experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnerships, and enterprise commercial agreements.
• Strong understanding of technology including cloud services, software licensing models, information security, privacy, IP, and regulatory considerations.

Responsibilities

• Lead customer, procurement, and strategic commercial negotiations and tech-related legal work by drafting, reviewing and negotiating software, SaaS, hybrid cloud, AI offerings, and partnerships.
• Provide strategic legal advice on commercial issues and negotiate a high volume of contracts from straightforward to complex.
• Engage with customers to ensure they feel heard and delivered.
• Suggest and implement process improvements to standard forms and templates.
• Demonstrate agility with AI legal tech tools and identify suitable tools for different purposes.
• Lead and support pricing initiatives and governance with Finance and Business Ops.
• Participate in internal approval workflows, prioritize contracts, and respond to stakeholder questions.
• Leverage AI tools including Microsoft O365, Salesforce and Ironclad to optimize work.
