Job summary

Relativity is seeking a Senior Counsel, Commercial Transactions to support its commercial contracting function and strategic business initiatives. The role focuses on drafting, reviewing, and negotiating SaaS, software licensing, cloud services, AI-enabled products, data processing, and strategic partnerships.

The candidate collaborates with Sales, Product, Security, Finance, and other stakeholders to enable growth, manage legal risk, and optimize contracting processes.

Qualifications

• Eight or more years of relevant experience in-house and/or at a law firm supporting technology transactions.
• Experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnerships, and enterprise commercial agreements.
• Experience supporting complex commercial contracting environments.
• Strong understanding of technology, including legal tech, cloud services, software licensing models, information security, privacy, IP, and regulatory considerations.
• Experience with AI-enabled products and emerging tech issues.
• JD degree from an accredited law school and US license to practice.
• Ability to research and analyze legal issues.

Responsibilities

• Lead customer, procurement, and strategic commercial negotiations and transactions, drafting, reviewing and negotiating software, SaaS, cloud services, AI offerings, and partnerships.
• Provide strategic legal advice and business counsel on commercial issues and negotiate a high volume of contracts.
• Engage with customers to ensure they feel heard and deliver.
• Suggest and implement process improvements to forms and workflows.
• Leverage AI legal tech tools to improve efficiency and select appropriate tools.
• Lead strategic pricing initiatives and governance projects with Finance and stakeholders.
• Participate in internal approval workflows and manage contract prioritization.
• Proficient in AI tools, Salesforce, Ironclad, and Asana.
