Job summary

EDF power solutions North America seeks a Senior Counsel to lead negotiations, drafting, and critical review of commercial contracts, merger and acquisition documents, project debt and equity financing, and interconnection/transmission agreements for renewable energy projects.

You will advise internal clients on regulatory strategy and compliance with ISO/RTO market rules, manage risk, and provide leadership to the legal team and outside counsel across North America.

Qualifications

• Current bar license in one or more North American jurisdictions.
• Jurispermitting to practice law in at least one US state or Canadian province/territory.
• Juris Doctorate from ABA-accredited US law school.

Responsibilities

• Lead negotiations, drafting, and critical review of commercial contracts, merger and acquisition agreements, and project finance documents.
• Support due diligence for transactions related to project debt financing, equity financing, and related agreements.
• Provide strategic guidance on regulatory strategy and compliance, including ISO/RTO tariffs and market rules.
• Develop governance and risk management processes within the legal department and mentor junior staff.
• Liaise with internal clients and external counsel to advance renewables projects from development through operation.
