Job summary

Crusoe is seeking a talented Director, Legal Counsel, Corporate & Securities to join our in-house Legal team. You will lead corporate governance, securities compliance, and investor reporting, while partnering with Finance, Accounting, and Investor Relations.

A JD and 4–7 years in corporate/securities are required, with capital markets exposure a plus. Reporting to Senior Legal leadership, you will help scale governance, ensure regulatory compliance, and support equity financings.

Qualifications

• JD from an accredited law school and active bar membership in at least one US state.
• Minimum 4–7 years of corporate and securities experience at a top-tier law firm or in-house.
• Deep expertise in board and stockholder governance, disclosure obligations, and insider trading compliance.
• Working knowledge of capital markets transactions (Rule 144A, private placements) for cross-coverage.
• Proven ability to advise on complex corporate and transactional matters.
• Detail-oriented with strong analytical and problem-solving skills.
• Excellent business judgment and communication skills to influence stakeholders.
• Experience handling sensitive information with professionalism.

Responsibilities

• Lead Board materials prep and governance processes.
• Oversee securities disclosures and regulatory reporting.
• Maintain disclosure controls and information governance.
• Advise on insider trading policies and equity reporting.
• Support capital markets transactions and post-closing compliance.
• Collaborate with Finance, Accounting, Investor Relations, and HR.
