Job summary

CSAA Insurance Group, a leading AAA insurer, seeks a Sr. Counsel, Commercial Transactions to lead the structuring, drafting, and negotiation of sophisticated insurance distribution arrangements and multi-party programs in a remote-first setting.

You will partner with business teams to translate innovative models into clear risk allocations, regulatory responsibilities, and contractual rights, while contributing to process improvements and broader initiatives across the organization.

Qualifications

• J.D. from an accredited U.S. law school and bar admission in good standing in the state of residency.
• 10+ years of experience in a relevant practice area.
• Substantial knowledge of current law and issues within area of specialty.
• Ability to communicate verbally and in writing in an organized, effective, and timely manner.
• Ability to work in an organized and efficient manner.

Responsibilities

• Lead the structuring, drafting, and negotiation of complex insurance distribution arrangements, including agency and aggregator relationships.
• Advise on reinsurance transactions, including inbound, outbound, catastrophe, and opportunistic reinsurance.
• Structure complex, often multi-party insurance programs and commercial transactions, including fleet programs, fronting arrangements, high- or 100% deductible structures, collateral arrangements, MGA or program administrator relationships, and related program, third-party claims administration, and service agreements.
• Coordinate suites of interrelated agreements and help business partners translate novel business models into workable legal and commercial structures.
• Partner across the organization on strategic and emerging initiatives, and contribute as needed to other areas handled by the team, including general commercial contracts, intellectual property, and marketing matters.
• Participate in Legal department and company process-improvement initiatives, including thoughtful adoption of new tools and approaches to delivering legal services.
