Job summary

CSAA Insurance Group (CSAA IG), a AAA insurer, is seeking a Sr. Counsel, Commercial Transactions for a remote role.

You will lead structuring, drafting, and negotiation of complex insurance distribution arrangements, including agency and aggregator relationships, and advise on reinsurance transactions. You will coordinate multi-party programs and collaborate across the organization on strategic initiatives, while supporting process improvements within the Legal function.

Qualifications

• J.D. from an accredited U.S. law school and bar admission in good standing in the state of residency.
• 10+ years of experience in a relevant practice area.
• Substantial knowledge of current law and issues within area of specialty.
• Ability to communicate verbally and in writing in an organized, effective, and timely manner.
• Ability to work in an organized and efficient manner.

Responsibilities

• Lead the structuring, drafting, and negotiation of complex insurance distribution arrangements, including agency and aggregator relationships.
• Advise on reinsurance transactions, including inbound, outbound, catastrophe, and opportunistic reinsurance.
• Structure complex, often multi-party insurance programs and commercial transactions, including fleet programs, fronting arrangements, high- or 100% deductible structures, collateral arrangements, MGA or program administrator relationships, and related program, third-party claims administration, and service agreements.
• Coordinate suites of interrelated agreements and help business partners translate novel business models into workable legal and commercial structures.
• Partner across the organization on strategic and emerging initiatives, and contribute as needed to other areas handled by the team, including general commercial contracts, intellectual property, and marketing matters.
• Participate in Legal department and company process-improvement initiatives, including thoughtful adoption of new tools and approaches to delivering legal services.
