Job summary

Entegris is seeking a Commercial Counsel to partner with the Global Procurement organization and broader business. Based in Billerica, MA or another U.S. location, with remote consideration for the right fit, you will structure, draft, and negotiate complex procurement agreements and related commercial matters.

The role requires a J.D. or equivalent and active bar admission, 4+ years’ experience in commercial contracting, and strong negotiation, drafting, and communication skills.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; IT or SaaS agreements a plus.
• Fluency in English; additional languages (Chinese, Japanese, Korean) a plus.

Responsibilities

• Serve as a primary legal advisor to Global Procurement and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other procurement agreements; support on sales agreements.
• Collaborate with Global Procurement and business teams to provide day-to-day legal advice in active relationships.
• Drive contract templates, positions, and negotiation playbooks; contribute to CLM system improvements and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams.
