Job summary

Entegris, Inc. is seeking a Commercial Counsel to join the Law Department and serve as the primary legal partner to the Global Procurement organization. The role involves structuring, drafting, and negotiating complex procurement agreements and supporting sales and other commercial matters. Ideal candidates have 4+ years in commercial contracting and a J.D.

with U.S. bar admission. Preferred location is Billerica, MA or another U.S. Entegris site, with remote consideration for the right fit.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; experience negotiating IT or SaaS agreements is a plus.
• Strong negotiation, drafting, and issue-spotting skills.
• Proven ability to manage competing priorities and drive complex negotiations to closure in a fast-paced environment.
• Clear and effective communicator with the ability to align legal strategy with business objectives.
• Self-starter who can work independently with minimal oversight.
• Experience with or strong interest in AI tools and legal technology.
• Fluency in English required; additional languages (Chinese, Japanese, or Korean) are a plus.

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
• Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues in active commercial relationships.
• Drive continuous improvement of contract templates, positions, and negotiation strategies.
• Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
