Job summary

Entegris is seeking a Commercial Counsel to join the Law Department in the United States. The role partners with Global Procurement to structure, draft, and negotiate complex procurement agreements, with support on sales contracts and other commercial matters. The position may be based in Billerica, MA or another U.S.

Entegris location, with remote work considered for the right fit. The successful candidate will have a J.D. or equivalent, active U.S.

Qualifications

• J.D. or equivalent with active U.S. bar admission.
• 4+ years of commercial contracting experience (procurement and/or sales).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; IT/SaaS agreements a plus.

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
• Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues that arise in active commercial relationships.
• Drive continuous improvement of contract templates, positions, and negotiation strategies.
• Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
