Job summary

Entegris is seeking a Commercial Counsel to partner with the Global Procurement organization and the broader business. The role, based in Billerica, MA or another U.S. location, involves structuring, drafting, and negotiating complex procurement agreements and supporting IT/SaaS deals.

The ideal candidate has a J.D. and 4+ years of experience in commercial contracting, with a background in high-tech industries and strong negotiation skills. Remote candidates may be considered for the right fit.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; IT or SaaS agreements a plus.
• Strong negotiation, drafting, and issue-spotting skills.

Responsibilities

• Serve as a primary legal advisor to Global Procurement and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements; support on sales agreements as needed.
• Collaborate with Global Procurement and business teams to provide day-to-day legal advice on active commercial relationships.
• Drive improvement of contract templates, positions, and negotiation strategies.
