Job summary

Entegris is seeking a Commercial Counsel to join the Law Department, serving as the primary legal partner to Global Procurement and the broader business for complex procurement and sales agreements.

The role is based in Billerica, MA or another U.S. location, with remote candidates considered for the right fit. You will report to the Senior Commercial Counsel at Entegris' headquarters in Billerica, MA, and lead contract templates, negotiations and AI-driven initiatives.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; IT or SaaS agreements is a plus.
• Strong negotiation, drafting, and issue-spotting skills.
• Ability to manage competing priorities and drive complex negotiations to closure in a fast-paced environment.
• Clear and effective communicator with ability to align legal strategy with business objectives.
• Self-starter who can work independently with minimal oversight.
• Experience with or strong interest in AI tools and legal technology.
• Fluency in English; additional languages (Chinese, Japanese, or Korean) are a plus.

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
• Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues that arise in active commercial relationships.
• Drive continuous improvement of contract templates, positions, and negotiation strategies.
• Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
