Job summary

C&M Legal Search is seeking an experienced Emerging Companies & Venture Capital Attorney for a fully remote role in the United States. You will advise startups, founders and investors on venture financings, formation, governance and day-to-day business matters, with substantial client responsibility and a manageable billable requirement.

The position offers a broad portfolio with equity planning, outside general counsel duties and high-level client interactions.

Qualifications

• At least five years of relevant corporate experience.
• Significant emerging-companies and venture-capital experience.
• Experience representing companies, founders or investors.
• Strong drafting, negotiation and client-management skills.
• Active attorney license in good standing.
• Practical, responsive and commercially minded approach.

Responsibilities

• Lead venture financings involving SAFEs, convertible notes and preferred stock.
• Advise startups on formation, founder equity, capitalization and corporate governance.
• Counsel clients on equity plans, restricted stock and investor matters.
• Serve as outside general counsel on commercial contracts, employment matters and day-to-day business needs.
• Develop practical strategies that balance legal considerations with business objectives.
• Manage matters and client relationships independently.
