Job summary

Insite Legal in New York (with a fully remote option) seeks a Senior Emerging Companies, M&A and Venture Capital Associate to handle end-to-end deals for founders, growth-stage companies and venture funds. The role is digital-native, lean, and client-facing from term sheets to closings.

You will lead equity financings, buy-side and sell-side M&A, venture investments, formation and governance, and commercial contracts for scaling businesses across fintech, SaaS, e-commerce and consumer goods.

Qualifications

• 8+ years as a corporate associate at a leading firm, ideally 9th/10th year, with a record of running transactions.
• Strong venture financing and M&A experience on both company and investor side.
• New York bar admission, with Delaware a plus.
• Commercial judgment, strong drafting and the ability to run several deals at once.

Responsibilities

• Lead equity financings from seed through later rounds for startups and investors.
• Manage buy-side and sell-side M&A including cross-border transactions.
• Oversee venture and growth equity investments for fund clients, including structured and preferred equity.
• Handle formation, capitalization, equity incentive plans and governance for clients.
• Draft and negotiate commercial contracts for scaling businesses (licensing, SaaS, services).
