You will support venture capital financings, M&A transactions, and day-to-day corporate governance matters for emerging growth companies and their investors. Qualifications

• JD required with admission to a U.S. state bar.
• 5–8 years of Emerging Growth/Venture Capital experience preferred.
• Experience at a top AmLaw 100 firm is preferred.
• Familiarity with NVCA, SeriesSeed.com and YC documents.

Responsibilities

• Advise on venture capital financings, M&A, and corporate governance.
• Negotiate and manage preferred stock, bridge, and SAFE financings.
• Conduct due diligence on transactions and coordinate client needs.
• Mentor junior lawyers and supervise staff as needed.
