Remotebridge is seeking a Venture Capital & Corporate Attorney contractor to support a global client with complex legal and transactional needs. You will review VC and corporate transactions, draft term sheets, SPAs, convertible notes, and provide clear explanations for AI training inputs.

This remote role emphasizes high-quality written and verbal communication, cross-border considerations, and the ability to collaborate asynchronously with project managers; JD and bar admission required; 7+

Qualifications

• JD and active bar membership in at least one jurisdiction.
• Extensive experience in venture capital financing, corporate transactions, and startup legal advisory (7+ years).
• Proven ability to draft and negotiate investment and corporate governance documents.

Responsabilités

• Review and analyze venture capital and corporate transactions, providing expert written and verbal insights.
• Draft, assess, and comment on investment documents, such as term sheets, share purchase agreements, and convertible notes.
• Evaluate and explain complex structuring and governance considerations relevant to startups, investors, and corporations.
• Summarize legal concepts and transaction processes in clear, accessible language for AI training purposes.
• Identify potential legal, regulatory, or compliance issues within sample scenarios or documentation.
• Deliver constructive feedback on sample legal texts, enhancing the quality of AI-generated output.
• Collaborate asynchronously with project managers and other contributors through remote communication platforms.
