ABB Inc. is seeking a senior in-house attorney to lead Legal & Integrity fiduciary duties and corporate governance for all U.S. entities. You will advise the US Country Holding Officer and senior management on governance, risk mitigation, and strategic legal matters, including M&A and license to operate.

You will oversee integrity investigations, data privacy, cybersecurity, and regulatory certifications, ensuring alignment with internal controls and risk programs across ABB’s U.S. operations.

Qualifications

• Juris Doctorate from an accredited U.S. law school with bar admission.
• Minimum 10 years of corporate/commercial law experience, preferably in multinational manufacturing or top-tier firms.
• Experience managing fiduciary duties, governance, and operating in a decentralized organization.
• Strong business-focused legal judgment with process improvement and risk mitigation.
• Proficiency in contract review, drafting, negotiation, M&A, and corporate secretarial functions.
• Knowledge of data privacy, U.S. government contracting, licensing, and related frameworks.
• Experience in finance, treasury, risk management, and IP/ISIT matters.

Responsabilités

• Lead end-to-end accountability for Legal & Integrity fiduciary duties, corporate governance, and compliance for all U.S. legal entities, including corporate secretarial services, regulatory filings, and contractor licensing.
• Serve as a trusted advisor to the U.S. Country Holding Officer and senior management on governance, compliance, risk mitigation, and strategic legal matters impacting business operations, M&A, and license to operate.
• Oversee integrity investigations, government contracting compliance, data privacy and protection, cybersecurity, and regulatory certifications; align with internal audit, HSE, and risk management.
• Provide expert counsel on contracts, commercial agreements, and shared legal entity matters; harmonize legal processes while supporting BA-specific needs; supervise paralegal staff and collaborate with global Legal & Integrity centers of excellence.
