Qualifications

• JD degree required.
• 5–8 years in emerging growth and venture capital transactions.
• Direct AmLaw 100 firm experience preferred.
• Familiarity with NVCA documents, Series Seed materials, and YC agreements.

Responsibilities

• Negotiate and manage venture capital financings, including preferred stock issuances, bridge loans, and SAFE agreements.
• Coordinate and lead due diligence reviews for M&A and equity financing transactions.
• Advise emerging tech and growth clients on day-to-day corporate governance, board resolutions, and ongoing matters.
• Draft, analyze, and finalize complex transactional agreements and disclosure documentation under tight timelines.
• Communicate with founders, fund managers, opposing counsel, and internal team members.
• Mentor, supervise, and collaborate with junior attorneys and staff on transaction management.
