Job summary

Relativity is seeking an experienced Counsel, Commercial Transactions to draft, review, negotiate, and advise on a broad range of customer-facing and strategic commercial agreements. Focus areas include SaaS, software licensing, cloud services, AI offerings, data processing, and strategic partnerships.

The role partners with Sales, Finance, Security, and other stakeholders to enable growth, manage risk, and scale contracting processes in a hybrid/remote environment.

Qualifications

• Four to six years of relevant experience in-house and/or at a law firm supporting technology transactions.
• Experience negotiating SaaS, software, cloud services, professional services, data processing, and enterprise commercial agreements.
• Experience supporting complex commercial contracting environments.
• Understanding of technology, including legal technology, cloud services, software licensing models, information security, privacy, intellectual property, and regulatory considerations.
• Experience supporting AI-enabled products, and emerging technology issues.
• Strong organizational skills and attention to detail.
• Intelligence, flexibility, creativity, diligence, resourcefulness, responsiveness, and strong communications skills.
• Desirable: data privacy basics and SaaS security/processing practices.
• Desirable: experience with government tech procurement (GSA, SEWP, FAR) and FedRAMP knowledge.
• Understanding of software development, SaaS infrastructure, open-source, and IP laws.

Responsibilities

• Lead customer, procurement, strategic commercial negotiations and technology-related legal work by drafting, reviewing and negotiating software, SaaS, cloud services, AI offerings, and strategic partnerships.
• Provide legal advice and business counsel on commercial and operational issues and manage a high volume of contracts.
• Engage with customers to ensure they are heard and deliver.
• Suggest and implement process improvements, including standard forms and variations to align with product requirements.
• Leverage AI legal tech tools to boost efficiency; participate in pricing governance and strategy.
• Support internal approval workflows, prioritize contracts, and respond to stakeholder questions.
• Collaborate with Sales, Security, IT, Finance, and Compliance to provide timely deliverables.
