Job summary

Harris Healthcare is seeking a Corporate Counsel to join our Legal Team, remote in the United States. The role focuses on U.S. healthcare and technology business matters, requiring 4+ years of experience and a JD with bar admission.

Strong drafting, negotiation, and risk assessment skills are essential. The successful candidate will draft and negotiate commercial and technology licenses, collaborate with cross-functional teams, and guide corporate transactions from start to finish.

Qualifications

• JD Degree and be a member in good standing of a State Bar.
• 4+ years of experience from a well-respected firm or company.
• Knowledge of US healthcare law, including HIPAA, data privacy and security.
• Experience reviewing and drafting technology/software license agreements.

Responsibilities

• Draft, review and negotiate a wide range of commercial agreements and contracts for customers and vendors, including license agreements, reseller agreements, service agreements, technology development agreements, and non-disclosure agreements.
• Lead, from beginning to end, the structuring, drafting, reviewing, negotiating and closing of corporate and commercial transactions.
• Create and maintain template agreements based on business and legal requirements.
• Work closely with the Legal & Compliance Department and cross-functional teams to identify needs, advise internal clients, and support business growth.
• Represent the needs of Harris Healthcare when interacting with customers, vendors and partners; interact with external counsel on negotiations and dispute resolution.
• Review and proactively identify legal trends and risks as part of the changing regulatory environment.
