Job summary

Qualia, a leading B2B real estate tech company, is seeking a Corporate Counsel to oversee corporate matters and commercial contracts. You will work closely with legal, finance, and business leaders to manage governance, financings, M&A, and a high volume of vendor and partnership agreements.

The role emphasizes drafting and negotiation, regulatory awareness, and the strategic use of AI tools like Claude within legal workflows.

Qualifications

• JD and active bar membership in good standing in at least one U.S. jurisdiction.
• 3–6 years of corporate experience at a law firm and/or in-house at a technology company.
• Hands-on corporate governance work and exposure to venture financings, M&A diligence, and/or disclosure schedules.
• Meaningful experience drafting and negotiating commercial agreements, such as partnership, SaaS/technology, and procurement contracts.
• Solid understanding of IP, data privacy, and regulatory issues in software agreements.
• Strong issue-spotting instincts and ability to explain complex points clearly to senior stakeholders.
• Excellent communication and negotiation skills; able to push back constructively.
• Hands-on experience using generative AI tools such as Claude in legal work.

Responsibilities

• Prepare board and stockholder consents, resolutions, meeting materials, and maintain the corporate minute book and records.
• Assist in equity management with Finance and People teams, including plan documents and stock transfers.
• Manage subsidiaries and entity matters, including formations and officer/director appointments.
• Support financings, secondary transactions, and M&A workstreams, including due diligence and disclosure schedules.
• Help scope and manage outside counsel.
• Draft, review, and negotiate a high volume of commercial agreements, including strategic partnerships and vendor/SaaS agreements.
• Partner with Procurement, Security, IT, and Finance on vendor review and contracting.
• Advise business teams on deal structure and risk; explain legal issues to non-lawyers.
• Identify IP, data privacy, and regulatory issues in contracts and elevate as appropriate.
• Develop and maintain contract templates, playbooks, and guidelines; train internal teams.
