Zusammenfassung

Qualia is seeking a Corporate Counsel in San Francisco to own corporate matters and commercial contracts. You will draft and negotiate strategic partnerships, vendor and SaaS agreements, and manage equity/financing related work, while guiding business teams on risk and structure.

You'll collaborate with finance, HR, and product, oversee outside counsel, and help shape templates and playbooks, using AI tools to streamline processes.

Qualifikationen

• JD and active bar membership in good standing in at least one U.S. jurisdiction.
• 3–6 years of corporate experience at a law firm and/or in-house at a technology company.
• Corporate experience: hands-on governance work and venture financings, M&A diligence, and/or disclosure schedules.
• Commercial experience: drafting and negotiating commercial agreements like partnerships, SaaS/tech, and procurement contracts.
• Solid understanding of IP, data protection, and privacy issues in software agreements.
• Strong issue-spotting instincts; ability to explain risks to senior stakeholders.
• Excellent communication and negotiation skills; comfortable advising senior stakeholders.
• Hands-on experience using generative AI tools in legal work.

Aufgaben

• Prepare board and stockholder consents, resolutions, meeting materials, and maintain corporate minute book and records.
• Assist equity management with Finance and People teams, including plan documents and stock transfers.
• Manage subsidiaries and entity matters, including formations and officer/director appointments.
• Support workstreams for financings, secondary transactions, and M&A, including due diligence and disclosure schedules.
• Help scope and manage outside counsel.
• Draft, review, and negotiate a high volume of commercial agreements, including partnership and vendor/SaaS agreements.
• Partner with Procurement, Security, IT, and Finance on vendor review and contracting.
• Advise business teams on deal structure and risk, and explain legal issues clearly to non-lawyers.
• Identify IP, data privacy, and regulatory issues in contracts and elevate as appropriate.
• Help develop and maintain contract templates, playbooks, and guidelines, and provide training on contracting basics.
