Job summary

micro1 is seeking a corporate counsel to join our remote-first team, with the option to work from the SF office. The role blends transactional execution with AI‑driven legal operations, focusing on venture financings, governance, equity administration, and closing transactions.

You will own end‑to‑end processes from drafting to filings, build self‑service tools, and design AI-enabled workflows to reduce manual work while enabling the legal team to focus on higher‑value matters.

Qualifications

• Significant experience in venture capital financings, M&A, or similar corporate transactions.
• Strong knowledge of transaction documents, approvals, and closing processes.
• Experience with corporate governance, entity management, state filings, cap tables, and equity administration.

Responsibilities

• Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters; drafting documents and coordinating with outside counsel.
• Own transaction execution from signatures through closing sets and post-closing matters.
• Maintain the company’s master data room and ensure corporate records are accurate and current.
• Manage corporate governance and entity administration, including filings, annual reports, minute books, and subsidiaries.
• Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, and reconciliations.
• Draft and manage routine corporate and legal documents; decide when to elevate to outside counsel.
• Design AI-enabled legal intake and triage workflows for a highly asynchronous Slack-driven environment.
• Build templates, playbooks, and automation for NDAs, approvals, and signature requests.
• Identify repetitive legal work and develop scalable systems for faster, more accurate operations.
