Job summary

Jobot is partnering with a well-established, national law firm to hire an Associate Attorney for the Corporate group. The role focuses on corporate transactional work, including finance, mergers, governance, and fundraising, with oversight to guide clients through growth.

The ideal candidate will draft and advise on various corporate documents, support clients across industries, and contribute to deal execution. This remote position offers comprehensive benefits and discretionary bonuses.

Qualifications

• J.D. with strong academic performance and good standing bar membership.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements, and governance documents.
• Experience with IP rights, risk mitigation, contracts, and corporate governance, financing, indemnification, restructuring, fundraising.

Responsibilities

• Structure, negotiate, document and manage transactions.
• Provide strategic business and legal advice to clients on general matters.
• Advise clients on legal rights, contractual responsibilities and related agreements.
• Advise on employment covenants and changes in the law affecting them.
• Maintain key stakeholder relationships with timely deal communications.
• Contribute to internal processes and deal-making resources.
