Qualifications

• 3+ years of experience handling corporate and transactional matters in a law firm.
• Experience representing companies, investors, lenders, or other business entities in transactional matters.
• Strong drafting and negotiating transaction-related documents.
• Experience mentoring, supervising, or training junior attorneys is preferred.
• Excellent analytical, communication, and organizational skills.

Responsibilities

• Manage and execute complex corporate transactions from initial planning through closing.
• Advise clients on financing transactions, corporate governance matters, and general business operations.
• Draft, review, and negotiate transaction documents and related agreements.
• Coordinate transaction timelines and oversee due diligence processes.
• Serve as a primary point of contact for clients, opposing counsel, and deal participants.
• Support clients through growth, investment, and strategic business initiatives.
• Supervise, train, and mentor junior attorneys and legal support professionals.
• Collaborate with attorneys across multiple practice areas to provide comprehensive client service.
• Assist with transaction strategy, risk assessment, and issue resolution throughout deal execution.
