Job summary

Jobot is seeking an experienced Corporate Associate Attorney to join its national corporate group. The role focuses on transactional work including finance transactions, mergers, corporate governance, and growth initiatives. You will draft and review governance documents, negotiate complex deals, and counsel clients with minimal oversight.

The ideal candidate holds a J.D. with bar membership and has demonstrated expertise across board resolutions, operating agreements, and fundraising documents.

Qualifications

• J.D. degree with strong academic performance and active bar membership.
• Experience drafting board/shareholder resolutions, operating agreements, and financing documents.
• Experience handling corporate governance, IP rights, risk mitigation, and fund-raising aspects.

Responsibilities

• Structure, negotiate, document, and manage various transactions
• Provide strategic business and legal advice to clients on general legal matters
• Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements
• Advise on changes in the law with respect to restrictive covenants as they relate to employment
• Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy
• Contribute to relevant internal and departmental process development and management, as well as deal-making resources
