Jobot is seeking an experienced attorney to support a Corporate M&A group in a mid-level or senior role. The candidate should draft transaction documents, oversee due diligence, review disclosure schedules, and manage specialists.

Qualifications

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the NY state bar.
• A minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
• Proven experience drafting and negotiating disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.

Responsibilities

• Provide legal advice on corporate matters including mergers and acquisitions, corporate governance, and compliance.
• Draft, review, and negotiate complex documents such as disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
• Conduct due diligence investigations and prepare due diligence reports.
• Advise clients on legal aspects of business strategies and decisions.
• Develop and maintain strong relationships with clients.
• Stay updated on developments in corporate law and contribute to knowledge management.
• Collaborate with other departments to align legal strategy with business objectives.
