Jobot is seeking an experienced Associate Attorney in Corporate transactional work to join a national firm’s Corporate group. The role focuses on finance transactions, mergers, governance, and growth support for diverse clients, including startups and established brands.

The candidate will draft and remediate documents, counsel clients on ventures and fundraising activities, and manage deal negotiations with oversight as needed. Strong bar standing and J.D. required.

Qualifications

• J.D. with strong academic performance and bar in good standing.
• Experience drafting Board/Shareholder Resolutions for fundraising or remediation.
• Experience with convertible notes, Operating Agreements, and Incentive Plans.

Responsabilités

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general matters.
• Advise on legal rights, contractual responsibilities, and agreements.
• Advise on changes in law regarding restrictive covenants in employment.
• Maintain key stakeholder communications on deal negotiations and strategy.
• Contribute to internal processes and deal-making resources.
