Job summary

MARBRI Legal seeks a 3–6 year Associate Attorney for its fully remote Business & Transactional Practice. You will draft, review, and negotiate a wide range of commercial agreements, support corporate structuring, and assist with M&A and financing transactions.

The ideal candidate is a sharp drafter and practical problem-solver who can manage substantive work independently while communicating clearly with clients.

Qualifications

• 3–6 years of legal experience in commercial transactional practice.
• Active admission in any U.S. jurisdiction.
• Strong drafting, negotiation, and client communication skills.
• Ability to work independently in a fully remote environment.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements (including stock/asset purchase agreements and employment agreements).
• Support corporate structuring and governance matters (operating agreements, shareholder agreements, bylaws, resolutions).
• Assist with M&A, financing transactions, and strategic business deals.
• Provide outside-general-counsel support on day-to-day legal and business issues.
• Analyze legal, regulatory, and operational matters across multiple industries.
• Communicate directly with clients in a clear, practical, and professional manner.
• Manage multiple matters with strong attention to detail and responsiveness.
• Collaborate with firm leadership on complex legal and strategic issues.
• Contribute to the continued growth and development of the firm’s practice.
