Ideal candidates have 4–6 years of substantive M&A experience, a JD from a top-tier law school, and Georgia bar admission.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive M&A and complex corporate transactions experience.
• Sophisticated law firm experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Ability to manage complex deal timelines and coordinate with junior team members from diligence through closing.
• Experience drafting and negotiating equity and asset purchase agreements and related documents.
• Extensive experience conducting and summarizing legal due diligence.
• Excellent written and oral communication with strong analytical abilities.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, focusing on private equity deals.
• Manage all phases of M&A transactions: structuring, diligence, drafting, negotiation, closing.
• Draft and negotiate purchase agreements and ancillary transaction documents.
• Lead legal due diligence efforts and coordinate with junior attorneys.
• Serve as primary client contact and coordinate with external advisors throughout the transaction lifecycle.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines.
