The ideal candidate has a JD from a top-tier law school, active Georgia bar in good standing, and 4–6 years of substantive M&A experience, with strong drafting, due diligence, and client-service skills.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in Georgia, in good standing.
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions.
• Experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Proven ability to manage complex deal timelines and coordinate with junior team members.
• Experience drafting and negotiating equity and asset purchase agreements and ancillary documents.
• Extensive experience conducting, analyzing, and summarizing legal due diligence.
• Exceptional attention to detail and strong client-facing communication.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.
• Manage all phases of M&A transactions from structuring to closing.
• Draft and negotiate purchase agreements and transaction documentation.
• Lead and coordinate legal due diligence efforts with junior attorneys.
• Serve as a primary contact for clients and external advisors throughout the lifecycle.
• Collaborate across corporate, tax, finance, and regulatory disciplines to deliver solutions.
