Job summary

AmLaw 100 law firm in Atlanta is seeking a highly motivated mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice in Atlanta. The role offers exposure to sophisticated, cross-border transactions with a focus on private equity and private-target deals.

Ideal candidates will have a JD from a top-tier law school, an active Georgia Bar in good standing, and 4–6 years of substantive M&A experience.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in Georgia, in good standing.
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions.
• Sophisticated law firm experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Proven ability to manage complex deal timelines and oversee transaction workflows from diligence through closing.
• Experience drafting and negotiating equity and asset purchase agreements and ancillary documents.
• Extensive experience conducting, analyzing, and summarizing legal due diligence.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with focus on private equity-sponsored deals.
• Manage all phases of M&A transactions: structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, supervising junior attorneys and synthesizing findings for clients.
• Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions.
