Essenti Talent is recruiting an Associate Attorney to join a nationally recognized AmLaw 100 law firm in Atlanta for its Mergers & Acquisitions and Corporate Finance practice. The role offers hybrid work, exposure to high-value, cross-border transactions, and collaboration with seasoned deal professionals on sophisticated matters.

Ideal candidates hold a JD from a top-tier law school, are admitted to the Georgia Bar, have 4–6 years of relevant experience, and can manage diligence and closing

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive M&A and corporate finance experience.
• Proven ability to manage complex deal timelines and coordinate with subject matter experts and junior team members.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, focusing on private equity deals.
• Manage all phases of M&A transactions: structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements and related transaction documents.
• Lead and coordinate legal due diligence efforts with junior attorneys and synthesize findings for clients.
• Serve as a primary point of contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions.
