Job summary

Our client, a nationally recognized AmLaw 100 law firm, seeks a mid-level Associate Attorney in Atlanta for its Mergers & Acquisitions and Corporate Finance practice. The role offers exposure to sophisticated domestic and cross-border transactions, with emphasis on private equity and private-target deals.

The ideal candidate has 4–6 years of substantive M&A experience, a JD from a top-tier school, and active Georgia bar admission. Hybrid Atlanta work arrangement available.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in Georgia, in good standing.
• 4–6 years of substantive experience handling mergers & acquisitions and complex corporate transactions.
• Sophisticated law firm experience advising on complex M&A and corporate finance matters.
• Experience managing private equity transactions and private-target M&A.
• Ability to oversee transaction workflows from diligence through closing.
• Experience drafting and negotiating equity and asset purchase agreements, and related documents.
• Extensive experience conducting and summarizing legal due diligence.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with a focus on private equity deals.
• Manage all phases of M&A transactions: structuring, diligence, drafting, negotiation, closing.
• Draft and negotiate purchase agreements and transaction documentation.
• Lead and coordinate legal due diligence and supervise junior attorneys.
• Serve as a primary point of contact for clients and external advisors throughout the lifecycle of the deal.
• Collaborate across corporate, tax, finance, and regulatory disciplines to deliver integrated solutions.
