Job summary

Cencora, Inc. is seeking a strong Corporate/M&A attorney to deliver business-oriented legal services and strategic counseling on significant transactions across a global organization.

The role requires 7+ years of corporate/M&A experience with the ability to manage complex deals independently, lead cross-functional teams, and coordinate outside counsel while maintaining ownership of the transaction.

Qualifications

• J.D. from an accredited law school and admission to a state bar.
• 4–8 years of experience as a lawyer with M&A or similar practice.
• Ability to manage domestic and international M&A from inception to post-closing.

Responsibilities

• Provide business-oriented, efficient legal advice on significant transactions.
• Lead and coordinate due diligence and identify material legal risks.
• Draft and negotiate confidentiality agreements, LOIs, term sheets, and definitive agreements.
• Collaborate with Corporate Development, Strategy, Finance, Tax, and other teams throughout the deal lifecycle.
• Supervise outside counsel and manage legal spend while owning the transaction.
