Job summary

Cencora is seeking an experienced corporate/M&A attorney to deliver business‑oriented legal services and strategic counseling across global transactions. You will independently manage deals from inception through closing, draft and negotiate key transaction documents, and coordinate due diligence with multiple internal teams and outside counsel.

The role requires 7+ years of corporate/M&A experience, a J.D., and bar admission.

Qualifications

• Strong corporate/M&A attorney with ability to provide business‑oriented, efficient legal advice and strategic counsel on significant transactions.
• Experience independently managing domestic and international M&A and other strategic transactions from inception through closing and post‑closing integration.
• Hands‑on experience drafting and negotiating confidentiality agreements, LOIs/term sheets, definitive transaction agreements and ancillary documents.
• Significant experience leading and coordinating legal due diligence and translating findings into protections.
• Ability to partner with Corporate Development and Strategy and work with Finance, Tax, Treasury, Compliance, HR, IT and other Legal teams.

Responsibilities

• Provide practical, business‑oriented legal advice and strategic counseling on significant corporate transactions.
• Manage domestic and international M&A and strategic deals from inception through closing and integration.
• Draft and negotiate NDAs, LOIs, term sheets, and definitive agreements.
• Lead and coordinate due diligence, identify risks and tailor protections.
• Collaborate with Corporate Development, Strategy, Finance, Tax, and other teams throughout the deal lifecycle.
